MANILEAGUE TERMS OF SERVICE

These Terms of Service (these "Terms") contain the general terms and conditions that apply to customers, users, and visitors (collectively, "Users," or "you") of ManiLeague's online services, including the ManiLeague web application and all related services, features, and content (collectively, the "Services").

Please read these terms carefully as they govern your conduct when using the Services. By using the Services, you accept and agree to be bound and abide by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Services.

1. Eligibility and Acceptance

By using the Services, you represent and warrant that (a) you are at least sixteen (16) years of age; (b) you have the right, authority, and capacity to enter into these Terms; and (c) you will abide by all applicable laws, including but not limited to GDPR and CCPA privacy regulations where applicable.

2. Description of Services

ManiLeague is a social competition platform that gamifies community discovery and content curation. Users can create "Leagues", invite participants, submit third-party media links (such as Spotify and YouTube tracks), and vote on submissions using specialized voting methods (such as the Eurovision-style voting method).

3. Accounts and Registration

To access certain features, you may be required to register using third-party authentication services (such as Google or Spotify). You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We have the right to disable any account at any time in our sole discretion if we believe you have violated these Terms.

4. Third-Party Services and Content

The Services rely on integrations with third-party platforms, specifically Spotify and YouTube, to facilitate content sharing. By submitting links from these platforms, you acknowledge and agree that:

• You must comply with the respective Terms of Service of Spotify, YouTube, and any other integrated platform.
• ManiLeague does not host, control, or take responsibility for the third-party media content linked by Users.
• Your ability to submit or view content may be affected by the availability and functionality of these third-party APIs.

5. User-Generated Content and Conduct

When you submit text, links, comments, or other materials ("User Content") through the Services, you remain the owner of your content. However, you grant ManiLeague a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your User Content to operate the Services.

You agree not to submit any User Content or use the Services in a way that:

• Is defamatory, abusive, harassing, threatening, or harmful.
• Promotes hate speech, explicit sexual content, or illegal activities.
• Violates or infringes upon the privacy, copyright, trademark, or intellectual property rights of any third party.
• Involves spam, unauthorized advertising, or the transmission of malware/viruses.
• Attempts to manipulate the voting systems, leaderboards, or use automated scripts/bots without permission.

We reserve the right, but have no obligation, to monitor, edit, or remove any User Content or League that we determine violates these Terms.

6. Intellectual Property

Except for User Content and third-party media, all right, title, and interest in and to the Services (including designs, text, graphics, algorithms, and software) are and will remain the exclusive property of ManiLeague. You are granted a limited, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. MANILEAGUE DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Services will be error-free, uninterrupted, or secure, nor do we guarantee the accuracy or reliability of any User Content or leaderboard rankings.

8. Limitation of Liability

IN NO EVENT SHALL MANILEAGUE, ITS AFFILIATES, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF YOUR USE OF THE SERVICES.

In no event shall ManiLeague's aggregate liability for all claims related to the Services exceed one hundred U.S. dollars ($100.00 USD).

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Rehovot, Israel, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

10. Modifications to the Terms

We may revise these Terms from time to time. The most current version will always be posted on our website. By continuing to use the Services after changes become effective, you agree to be bound by the revised Terms.
